EXECUTIVE ORDER NO. 623 September 30, 1980

CONVERTING THE ILOCOS REGION FUELWOOD DEVELOPMENT PROGRAM CREATED UNDER LETTER OF INSTRUCTIONS NO. 866 INTO A CORPORATION AS A SUBSIDIARY OF THE PHILIPPINE VIRGINIA TOBACCO ADMINISTRATION, REDEFINING ITS FUNCTIONS, POWERS AND RESPONSIBILITIES, AND FOR OTHER PURPOSES

WHEREAS, the Virginia tobacco industry and domestic markets are presently confronted by acute fuelwood shortage, and it is imperative that the forest resources of the areas producing said tobacco should be properly managed, conserved and developed in line with the policy of the government to tap indigenous and renewable sources of energy and promote ecological balance.

WHEREAS, Letter of Instruction No. 866 dated May 23, 1979 directed the Philippine Virginia Tobacco Administration and the Ministry of Natural Resources to vigorously pursue the implementation of the Ilocos Region Fuelwood Development Program (IRFDP).

WHEREAS, it is imperative to strengthen the Program to improve its organizational capability to facilitate the attainment of its objectives.

EXECUTIVE ORDER NO. 623

Converting the Ilocos Region Fuelwood Development Program into a Corporation as a Subsidiary of the Philippine Virginia Tobacco Administration, Redefining its Functions, Powers and Responsibilities

- Converts the Ilocos Region Fuelwood Development Program (IRFDP) created under Letter of Instructions No. 866 into a corporation called the Virginia Tobacco Fuelwood Corporation (VTOFCO) as a subsidiary of the Philippine Virginia Tobacco Administration (PVTA). (Section 1)
- VTOFCO's principal office shall be in Metro Manila, but branches may be established elsewhere as needed. (Section 2)
- VTOFCO shall exist for 50 years, subject to extension for another 50 years. (Section 3)
- The powers and functions of VTOFCO shall be exercised by a Board of Directors composed of: (Section 4)
    - Chairman: The Chairman of PVTA (ex officio)
    - Vice-Chairman: The Minister of Natural Resources (ex officio)
    - Ex officio members: Provincial Governors of Abra, Ilocos Norte, Ilocos Sur, La Union; Directors of Bureau of Forest Development and Bureau of Lands
    - One member appointed by the President for a 3-year term
- VTOFCO's general objectives: (Section 5)
    - Operate production and marketing activities to ensure adequate fuelwood supply for Virginia tobacco industry and domestic markets.
    - Adopt measures for growth and development of fuelwood and related industries.
    - Provide direction to public sector in managing and developing forest resources commercially.
    - Promote strategies to limit indiscriminate use and destruction of forest lands.
- VTOFCO's specific objectives: (Section 6)
    - Directly engage in fuelwood production by establishing nurseries and plantations, primarily in Virginia tobacco producing areas.
    - Undertake harvesting, processing, and marketing of fuelwood products and by-products.
    - Develop and implement marketing program for efficient distribution of fuelwood products.
    - Undertake studies and encourage adoption of strategies for production, harvesting, processing, and marketing to promote fuelwood industry and safeguard forest resources.
    - Promote policy recommendations for management of the country's forest resources.
- VTOFCO has general corporate powers to use a corporate seal, make contracts, own properties, sue and be sued. (Section 7)
- VTOFCO has specific powers, including: (Section 8)
    - Acquire and hold lands necessary for its operations.
    - Promulgate rules and regulations.
    - Enter into contracts with any person, firm, corporation, or government.
    - Contract indebtedness when necessary.
    - Create and operate divisions, units, offices, and departments.
    - Enter into joint ventures, partnerships, or other arrangements.
    - Establish and maintain fuelwood plantations and market products and by-products.
    - Undertake research to promote quality and quantity of fuelwood products.
    - Obtain funds and invest idle funds in authorized government depository banks.
    - Accept and receive donations.
    - Exercise all powers of a corporation under the Corporation Law.
- VTOFCO's authorized capital stock is ₱100,000,000, fully subscribed by PVTA and paid as follows: (Section 9)
    - Net assets and appropriations of IRFDP shall form part of the authorized capital.
    - Balance shall be paid by PVTA from the Tobacco Fund as approved by the President and Minister of Budget.
- The Central Bank of the Philippines is authorized to extend advances and loans to VTOFCO as needed for its operations. (Section 10)
- Powers of the Board of Directors: (Section 11)
    - Formulate policies, plans, projects, rules and regulations.
    - Direct management, operations and administration of VTOFCO.
    - Approve budget and authorize expenditures.
    - Establish offices and create positions, fix salaries and remunerations.
    - Exercise other powers necessary to accomplish VTOFCO's purposes.
- Management headed by an Administrator and Deputy Administrator appointed by the Board, with salaries of at least ₱60,000 and ₱52,000 per annum, respectively. (Section 12)
- Powers and duties of the Administrator: (Section 13)
    - Prepare agenda for Board meetings and submit proposed policies and measures.
    - Execute and administer policies and measures approved by the Board.
    - Represent VTOFCO in dealings with government and public/private entities.
    - Exercise other powers vested by the Board.
- VTOFCO shall coordinate its policies, plans, projects and regulations with PVTA, Ministry of Natural Resources, and other relevant agencies. (Section 14)
- The Board is authorized to reorganize the administrative structure of the defunct IRFDP. (Section 15)
- IRFDP's properties, assets, unexpended appropriations, and necessary personnel are transferred to VTOFCO. (Section 16)
- The Board may adopt by-laws and promulgate rules and regulations for effective implementation of VTOFCO's policies and purposes. (Section 17)
- The Office of the Government Corporate Counsel shall be VTOFCO's General Counsel, but VTOFCO may organize its own legal department. (Section 18)
- The provisions of the Corporation Law shall apply to VTOFCO, insofar as they are not inconsistent with this Executive Order. (Section 19)
- LOI No. 866 and other inconsistent issuances are repealed, amended or modified accordingly. (Section 20)
- This Executive Order takes effect immediately. (Section 21)
