The Securities and Exchange Commission (SEC) approved on September 22, 2000 the covering Articles and Plan of Merger, Increase in Capital Stock, Amended Articles of Incorporation, and the Amended By-Laws of the Merged Corporation, executed on July 7, 2000 by SOLIDBANK CORPORATION (Solidbank — Surviving Corporation) and FIRST METRO INVESTMENT CORPORATION (FMIC — Absorbed Corporation) whereby Solidbank shall be renamed "First Metro Investment Corporation."

The merger took effect on November 9, 2000.
