LA-0165-13TO:The Investing Public   SUBJECT:GT Capital Holdings, Inc.Additional Listing Please be informed that the Board of Directors of The Philippine Stock Exchange, Inc., in its regular meeting on April 10, 2013, approved the application of GT CAPITAL HOLDINGS, INC. ("GTCAP" or the "Company") to list additional 16,300,000 common shares, with a par value of P10.00 per share, to cover its private placement transaction with Grand Titan Capital Holdings, Inc. ("Titan"). The 16,300,000 common shares were issued at P620.00 per share with a total transaction value of P10,106,000,000.00. This completes the Company's Placing and Subscription Transaction involving the secondary offering of 23,027,000 GTCAP shares held by Titan under the Placing Tranche, and the Company's subsequent issuance of 16,300,000 GTCAP common shares to Titan under the Subscription Tranche. 1 In view thereof, the listing of the additional 16,300,000 common shares of the Company is set for Thursday, May 2, 2013.The designated Stock Transfer Agent is hereby authorized to record and register in its books the above number of shares.For your information and guidance....
