LA-0123-13TO:The Investing Public   SUBJECT:Megaworld CorporationAdditional Listing This is with reference to Memorandum No. 0507-2009, Circular No. 7928-2009 and Circular No. 4135-2010 dated November 26, 2009, December 10, 2009 and June 10, 2010, respectively, in connection with the approval by the Exchange of the application of MEGAWORLD CORPORATION (the "Company") to list the following: TECIaH1. 4,102,045,380 warrants ("MEGW1" and "MEGW2") to cover the 4:5 warrants offering attached to and detachable from the rights offer shares of the Company; and2. 4,102,045,380 common shares to cover the underlying shares of the warrants subject to the actual exercise of rights of the warrants at an exercise price of P1.00 per share.As previously announced, the exercise ratio of the warrants is one (1) common share for every one (1) warrant held at an exercise price of P1.00 per common share.
