Case Overview and Summary
Summary of Executive Order No. 192Establishment of the Clark International Airport Corporation (CIAC)
- A body corporate known as the CIAC is authorized to operate and manage the Clark Aviation Complex. (Section 1)
- CIAC shall be a wholly-owned subsidiary corporation of the Clark Development Corporation (CDC) formed under the Corporation Code and SEC rules. (Section 1)
- CIAC shall be subject to the policies, rules and regulations of the Bases Conversion Development Authority (BCDA)/CDC. (Section 1)
Exemption from Civil Service Laws
- CIAC shall be exempt from the coverage of Civil Service laws, rules and regulations. (Section 2)
Board of Directors
- Powers of CIAC shall be vested in a Board of Directors composed of not more than 11 members. (Section 3)
- Members representing government equity shall be nominated by the President of the Philippines. (Section 3)
- Members must be Filipino citizens, of good moral character, and recognized competence in relevant fields like civil aviation, economics, tourism, law or engineering. (Section 3)
Capitalization
- Capitalization of CIAC shall be determined by BCDA/CDC and shall include: (Section 4)
- Cash equity provided by CDC.
- Government lands covered by the Clark Aviation Complex, improvements and fixtures.
- Other assets transferred by the President as equity contribution.
Transfer of Clark Air Base Proper
- BCDA shall transfer to CDC the land comprising the 4,440 hectares, more or less, covering the Clark Air Base Proper under Proclamation No. 163 (1993). (Section 5)
Role of Government Agencies
- All government agencies are directed to give full support to the Clark International Airport development program. (Section 6)
- Government agencies shall coordinate with BCDA and CDC to facilitate necessary approvals and expedite the conversion program. (Section 6)
Repealing Clause
- All issuances inconsistent with this Executive Order are repealed, amended or modified accordingly. (Section 7)
Effectivity
- This Executive Order shall take effect immediately. (Section 8)

EXECUTIVE ORDER NO. 192 July 27, 1994
AUTHORIZING THE ESTABLISHMENT OF THE CLARK INTERNATIONAL AIRPORT CORPORATION TO OPERATE AND MANAGE THE CLARK AVIATION COMPLEX
WHEREAS, under Republic Act No. 7227, otherwise known as the "Bases Conversion Development Act of 1992," it is the policy of the Government to accelerate the sound and balanced conversion into alternative productive uses of the Clark and Subic military reservations and their extensions to promote the economic and social development of the country;
WHEREAS, under Republic Act No. 7227 (1992), the Bases Conversion Development Authority is empowered to form, establish, organize and maintain subsidiary corporations formed in accordance with the Corporation Code and existing rules and regulations promulgated by the Securities and Exchange Commission;
WHEREAS, Executive Order No. 80 (1993) authorized the establishment of the Clark Development Corporation ( C) as the operating and implementing arm of the Bases Conversion Development Authority for the Clark Special Economic Zone;
